Terms of Service

Effective March 7, 2026

These Terms of Service ("Terms") govern access to and use of the Quavix Messenger platform (the "Service") operated by Quavix, Inc. ("Quavix," "we," "our," or "us"). By accessing or using the Service, you agree to these Terms.

1. Service Description

Quavix Messenger is a professional communication platform designed for institutional and professional users to exchange messages, files, and other communications. The Service may include communication tools, compliance archiving capabilities, and related features intended to support professional communications.

2. Professional Use

Quavix Messenger is intended for professional communications. Quavix reserves the right to restrict, suspend, or terminate accounts that do not meet the platform’s professional participation standards.

3. Organizational Accounts

If your access to the Service is provided by an organization:

  • your organization may control your account
  • your organization may access communications
  • your organization may implement supervisory controls
  • your organization may enforce retention policies

Users acknowledge that communications may be accessible to their organization.

4. Regulatory Recordkeeping

Certain organizations using the Service may be subject to regulatory recordkeeping requirements relating to electronic communications. The Service may provide message retention and archival capabilities intended to assist organizations in satisfying such requirements. Organizations remain solely responsible for determining whether the Service satisfies their regulatory obligations and for implementing appropriate supervision and compliance controls.

5. Supervisory Access

Organizations may implement supervisory controls, monitoring systems, or archival access to communications transmitted through the Service. Quavix may provide features allowing organizations to access or review communications of users within their organization. Quavix does not supervise communications on behalf of organizations.

6. Compliance Archiving

Communications transmitted through the Service may be stored in compliance archives. Such archives may be retained for legal, regulatory, security, or operational purposes. Certain archived communications may be stored in immutable or tamper-resistant storage environments designed to preserve message integrity.

7. Acceptable Use

Users agree not to:

  • use the Service for unlawful purposes
  • impersonate other individuals
  • distribute malware or malicious software
  • interfere with system operations
  • attempt unauthorized access to systems

8. Prohibited Automated Access and Data Extraction

Quavix Messenger is provided solely as a communications platform. The following activities are strictly prohibited:

  • use of bots or automated agents
  • use of artificial intelligence tools to monitor or extract communications
  • use of transcription systems to capture communications
  • scraping or recording conversations
  • systematic capture or replication of communications
  • automated ingestion of platform data

The Service may not be used as a dataset source for machine learning or automated systems. Attempts to extract or capture communications using automation, artificial intelligence, transcription tools, or other technological means will be considered unauthorized access and theft of data and intellectual property. Violations may result in account termination and legal action.

9. Cross-Organization Communications

The Service may allow users from different organizations to communicate. Users are solely responsible for the content of their communications and for complying with applicable laws and organizational policies. Quavix does not review, endorse, or verify communications exchanged between users.

10. Platform Monitoring

Quavix does not monitor or review communications transmitted through the Service except where necessary to:

  • maintain platform security
  • detect abuse or unauthorized activity
  • comply with legal obligations
  • investigate violations of these Terms

Quavix does not supervise communications on behalf of organizations.

11. Confidentiality of Communications

Quavix treats communications transmitted through the Service as confidential. Quavix does not access or disclose communications except as necessary to:

  • provide the Service
  • maintain system security
  • comply with legal obligations
  • enforce these Terms

12. Platform Analytics and Metadata Processing

Quavix may analyze platform activity and operational signals associated with use of the Service. This may include:

  • message routing metadata
  • timestamps and delivery data
  • feature engagement signals
  • connection patterns
  • network interaction signals
  • system performance data

Such analysis may involve aggregated, pseudonymized, or de-identified datasets. Message content is not used for analytics except where necessary for service delivery, security monitoring, or compliance obligations.

13. Aggregated Analytics and Derived Insights

Quavix may generate statistical models, analytics, indicators, or insights derived from aggregated or de-identified platform activity data. These insights may be used to:

  • improve the Service
  • develop analytics or research products
  • generate informational insights derived from platform activity

14. No Sale of Communications

Quavix does not sell user communications or message content to third parties.

15. Platform Data Ownership

Quavix retains ownership of the Messenger platform and all platform-generated data including:

  • system logs
  • operational metadata
  • aggregated usage statistics
  • de-identified analytics datasets
  • derived platform insights

16. User Content

Users retain ownership of communications, messages, and files transmitted through the Service. By using the Service, users grant Quavix a limited license to host, process, transmit, store, and archive communications solely for purposes of operating and securing the Service.

17. Security and System Integrity

Users must not attempt to:

  • bypass security protections
  • probe vulnerabilities
  • disrupt infrastructure
  • access restricted systems

18. Suspension or Termination

Quavix may suspend or terminate accounts if:

  • these Terms are violated
  • unauthorized automated access is detected
  • security risks arise
  • required by law

19. Limitation of Liability

The Service is provided "as is" without warranties of any kind. Quavix shall not be liable for indirect or consequential damages arising from use of the Service.

20. Governing Law

These Terms shall be governed by the laws of the State of Texas, United States.
